RESELLER AGREEMENT
Buzzbee Beekeeping
This Reseller Agreement (“Agreement”) is made between Buzzbee Beekeeping (“Buzzbee”) and the applicant business (“Reseller”). By applying to become a reseller and purchasing products at wholesale pricing, the Reseller agrees to the terms and conditions set out below.
1. Appointment
1.1 Buzzbee appoints the Reseller as a non-exclusive reseller of Buzzbee products (“Products”).
1.2 This Agreement does not grant exclusive territories or geographic rights unless otherwise stated in writing by Buzzbee.
1.3 Buzzbee reserves the right to approve, reject, or revoke any reseller application at its discretion.
2. Eligibility & Business Obligations
2.1 The Reseller must operate a legally registered business and provide accurate business information during the application process.
2.2 The Reseller agrees to maintain professional business practices and uphold the reputation and brand integrity of Buzzbee.
2.3 The Reseller must ensure that all business licences, registrations, and approvals required under local regulations are current.
3. Orders, Pricing & Payment
3.1 Approved Resellers will have access to wholesale pricing as determined by Buzzbee.
3.2 Pricing is subject to change at any time; however, Buzzbee will make reasonable efforts to communicate major changes.
3.3 Minimum order values or quantities may apply and may be amended at Buzzbee’s discretion.
3.4 Payment terms will be assigned upon approval. The Reseller agrees to pay all invoices in full and by the due date.
3.5 Buzzbee may suspend supply or reseller privileges if invoices remain unpaid.
4. Shipping, Delivery & Risk
4.1 Shipping and freight costs are the responsibility of the Reseller unless otherwise agreed in writing.
4.2 Title to the Products passes upon full payment; risk passes to the Reseller upon dispatch.
4.3 The Reseller must inspect Products on delivery and notify Buzzbee of any discrepancies or damage within seven (7) days.
5. Product Representation & Branding
5.1 The Reseller must accurately represent all Products and may use only approved Buzzbee product descriptions, specifications, and images.
5.2 The Reseller must not modify, repackage, alter, or rebrand Products without prior written approval from Buzzbee.
5.3 The Reseller agrees not to make any false or misleading claims regarding Products or their intended use.
6. Marketing, Advertising & MAP Compliance
6.1 Buzzbee may provide recommended retail pricing (RRP) and/or Minimum Advertised Price (MAP) guidelines.
6.2 Where MAP is in effect, the Reseller agrees not to advertise Products below the specified MAP level.
6.3 The Reseller may run independent promotions provided they comply with this Agreement and do not misrepresent the Products or the Buzzbee brand.
7. Storage, Handling & Safety
7.1 The Reseller must store and handle Products in accordance with best practices and relevant safety and regulatory requirements.
7.2 Products containing or involving chemicals (e.g., oxalic acid and glycerine treatments) must be stored, labelled, and sold in compliance with applicable laws and Buzzbee’s guidelines.
7.3 The Reseller agrees to provide accurate safety information to customers purchasing regulated or chemical-based Products.
8. Customer Service & Warranty
8.1 The Reseller is responsible for providing reliable customer service and product information.
8.2 Warranty claims must be managed promptly and professionally, in accordance with Buzzbee's warranty terms.
8.3 The Reseller agrees to report any significant product issues, safety concerns, or recurring customer complaints to Buzzbee immediately.
9. Confidentiality
9.1 The Reseller agrees to keep confidential any non-public information provided by Buzzbee, including wholesale pricing, supplier information, and internal documents.
9.2 This clause survives termination of this Agreement.
10. Term & Termination
10.1 This Agreement begins on the date the Reseller is approved and continues until terminated by either party.
10.2 Buzzbee may suspend or terminate this Agreement immediately if the Reseller:
- Fails to pay invoices
- Breaches this Agreement
- Misrepresents Products

Engages in conduct damaging to Buzzbee’s brand or customers
10.3 The Reseller may terminate this Agreement by providing written notice.
10.4 Upon termination, the Reseller must immediately cease using Buzzbee branding and promotional materials.
11. Liability
11.1 To the fullest extent permitted by law, Buzzbee is not liable for any indirect, incidental, or consequential loss arising from the Reseller’s activities.
11.2 The Reseller is responsible for ensuring all Products are sold and used in compliance with applicable laws and regulations.
12. Amendments
12.1 Buzzbee may update or revise this Agreement at any time.
12.2 Continued ordering of Products constitutes acceptance of any updated terms.
13. Governing Law
13.1 This Agreement is governed by the laws of the state or territory in which Buzzbee operates (Australia).
13.2 Any disputes shall be resolved in the appropriate jurisdiction within Australia.
14. Acceptance
By accepting above and ticking the check box on the online application, the Reseller acknowledges that they have read, understood, and agree to be bound by this Agreement.
